Terms of Service

1. Acceptance
By creating an account or using HoldPoint QA ("HoldPoint", "we", "us"), you agree to these Terms of Service on behalf of yourself and the company you represent. If you don't agree, don't use the platform.
These terms form a legally binding agreement between your company ("you", "your") and HoldPoint QA Pty Ltd, a Victorian company.
2. What HoldPoint does
HoldPoint is document management software for the construction industry. It helps you create, manage, and sign off on Inspection & Test Plans (ITPs), site instructions, and labour dockets.
HoldPoint is a technology platform. We are not a legal adviser, compliance consultant, or engineering authority. We do not verify that any document created on HoldPoint meets any particular contractual, regulatory, or engineering standard.
You are solely responsible for ensuring your documents are appropriate for their intended use.
3. Your responsibilities
- You are responsible for the accuracy, completeness, and legal compliance of all documents you create or import into HoldPoint.
- You must ensure that anyone you invite to your workspace understands and complies with these terms.
- You must not use HoldPoint to create false or misleading compliance records.
- You must keep your login credentials secure and notify us immediately if you suspect unauthorised access.
- You are responsible for obtaining any required consents before submitting third parties' names or contact details to the platform (e.g. subcontractor sign-off recipients).
4. AI-generated content
Important — read this before using AI features
AI-generated ITPs are a starting point only. You must review and verify every AI-generated document before use on a real project.
HoldPoint uses Anthropic's Claude AI to help generate ITP templates. AI-generated content is produced automatically and may contain errors, omissions, or content that is inappropriate for your specific project, contract, or regulatory context.
HoldPoint makes no warranty — express or implied — that AI-generated ITPs meet any particular standard, specification, or contractual requirement. You must have a qualified person review all AI-generated documents before they are used on site.
By using the AI generation features, you consent to your scope description being processed by Anthropic. Anthropic's data handling is governed by their privacy policy.
5. Your data
You own your data. HoldPoint does not claim ownership of any documents, photos, signatures, or other content you upload to the platform.
You grant HoldPoint a limited licence to store, process, and display your data solely for the purpose of providing the service to you.
6. Approved documents are locked
Once a document is marked as approved and signed, it is permanently locked and cannot be edited or deleted. This is a deliberate compliance feature — approved ITPs and site instructions form part of your legal audit trail.
By using HoldPoint, you acknowledge and accept this behaviour. Do not approve documents until you are satisfied they are correct, because you cannot undo an approval.
In the event of an account termination or subscription cancellation, read access to your approved documents is maintained for 90 days for compliance purposes.
7. Payment and billing
- Price: $45 AUD per active project per month for your first 5 projects. $35 per project per month for 6 or more active projects.
- Free project: Your first active project is free, forever. Billing begins when you add a second active project.
- When billing starts: A project activates billing on the first document import.
- Pausing: Archiving a project pauses its billing. Billing resumes if the project is reactivated.
- Invoicing: Charged monthly. Invoices are available in the Billing section.
- No refunds: We do not offer refunds for partial months or unused periods.
- Failed payments: If a payment fails, your account will be downgraded to read-only access after a short grace period. You will be notified by email.
- Price changes: We will give you 30 days' notice before changing our pricing.
8. Limitation of liability
Summary of this section
HoldPoint's maximum liability to you is capped at what you paid us in the last 3 months. We are not responsible for any indirect losses, including failed audits, contract disputes, or legal costs.
To the maximum extent permitted by Australian law:
- HoldPoint's total liability for any claim arising from your use of the platform is limited to the fees you paid to HoldPoint in the three (3) months immediately preceding the event giving rise to the claim.
- HoldPoint is not liable for any indirect, consequential, incidental, special, or punitive damages of any kind, including but not limited to: failed audits; disputed payment claims or variations; regulatory penalties; contract disputes; legal costs; loss of business or revenue; or damage to your reputation.
- HoldPoint is not liable for any loss arising from your reliance on AI-generated content, document errors, or the conduct of third-party signatories.
Nothing in these terms limits liability that cannot be excluded under Australian Consumer Law, including guarantees for services supplied to consumers.
9. Indemnification
You agree to indemnify and hold harmless HoldPoint, its officers, employees, and contractors from any claims, losses, or expenses (including legal costs) arising from:
- Your use of the platform in breach of these terms;
- The accuracy or completeness of documents you create or submit for sign-off; or
- Any third party's reliance on documents generated through your HoldPoint account.
10. Termination
Either party may terminate this agreement at any time:
- You: Cancel your subscription from the Billing page. Your account will remain active until the end of the current billing period.
- Us: We may suspend or terminate your account if you breach these terms, fail to pay, or engage in conduct that we reasonably consider harmful to other users or to HoldPoint.
On termination, read-only access to your approved documents is maintained for 90 days. After that period, your data may be deleted. Export your documents before this window closes.
11. Changes to these terms
We may update these terms from time to time. We will notify you by email at least 14 days before any material changes take effect. Continued use of HoldPoint after the effective date constitutes acceptance of the updated terms.
The current version and effective date are shown at the top of this page.
12. Governing law
These terms are governed by the laws of Victoria, Australia. Any disputes arising under these terms are subject to the exclusive jurisdiction of the courts of Victoria.
